Remuneration

Foundation Board

Members of the Foundation Board receive an annual payment fixed at CHF 25,000 net, while its Chairman receives CHF 55,000 net and its Vice-Chairman CHF 36,000 net. Members also receive a fixed sum for committee work. Meeting attendance fees are paid and the Chairman is paid a fixed amount of compensation for office infrastructure. This remuneration compensates the members of the Sympany Foundation Board in all the companies (Sympany Foundation, Vivao Sympany AG, Moove Sympany AG, Kolping Krankenkasse AG, Sympany Versicherungen AG and Sympany Services AG) for their work. In 2016, the total remuneration, including the remuneration dated from 1 July 2016 for the three additional members of the Kolping Krankenkasse AG administrative board, amounted to CHF 431,074, while the highest individual remuneration was CHF 100,500, which was paid to the Chairman. The increase compared to the previous year is due to additional meetings regarding looking for a new CEO and is also due to the fact that Kolping Krankenkasse AG has three additional administrative board members.

Executive Board

Annual remuneration for members of the Executive Board comprises a basic salary including employer's contributions to the Pension Fund and variable remuneration, the latter of which is dependent on business results and the achievement of targets. The total remuneration of the Executive Board, including the remuneration dated from 1 July 2016 for the additional member of Kolping’s executive board, was made up of cash payments of CHF 1,919,469 net and CHF 344,206 in employer's provident contributions. The increase compared to the previous year is due to the expansion of the Executive Board from five members to seven as of 1 April 2016 and also due to the fact that Kolping Krankenkasse AG has an additional executive board member. This remuneration compensates the members of the Sympany Executive Board in all the companies (Sympany Foundation, Vivao Sympany AG, Moove Sympany AG, Kolping Krankenkasse AG, Sympany Versicherungen AG and Sympany Services AG) for their work. The greatest individual remuneration was that paid to the CEO, being CHF 446,604 net in cash, with provident contributions amounting to CHF 83,984. The cash payment comprises the basic salary and all variable amounts.

The members of the Executive Board are obliged to remit to the company any fees or other compensation that they receive from mandates on Sympany's behalf. No additional fees or remuneration were paid to members of the Executive Board in 2016.
